IMPORTANT – READ CAREFULLY: This End-User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, hereinafter referred to as "Licensee" or "Participant") and Emergency Scene Simulations, LLC ("Licensor") for the Emergency Scene Simulator software product, accessed via scenesimulations.com or related domains, which includes web-based computer software, cached assets, and may include associated media, printed materials, and "online" or electronic documentation (collectively, the "Software").
By accessing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not access or use the Software.
Subject to the terms and conditions of this Agreement, Licensor grants to Licensee a revocable, non-exclusive, non-transferable, limited license to access and use the Software solely for internal training, educational, and simulation purposes, according to the tier of access described below:
This license is granted on a subscription basis to the purchasing organization ("Licensee"). Under this organization-wide license, the Software may be accessed by authorized personnel employed by or volunteering for the Licensee to host and manage simulations. This license is valid only while the Licensee maintains an active, paid subscription in good standing. Upon expiration or cancellation of the subscription, the Licensee's account will revert to Participant status.
Licensor grants a limited, revocable, non-exclusive license to individuals ("Participants") to access the Software free of charge strictly for the purpose of joining and participating in simulation sessions that have been created and hosted by an active Subscriber. Participants are not permitted to host their own sessions.
Licensee and Participants shall not, and shall not permit any third party to:
Licensee Accountability: The Licensee (Host/Organization) is expressly responsible for the actions of any Participants they invite to join their hosted sessions. The Licensee must ensure that all invited Participants comply with the terms of this Agreement. Any violation or breach of this Agreement by a Participant during a session hosted by the Licensee shall be deemed a material breach of this Agreement by the Licensee.
The Software is licensed, not sold. Licensor retains all ownership, right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement grants no right, title, or interest in any trademark, trade name, service mark, logo, or other intellectual property of Licensor. Local caching of Software assets by compatible web browsers does not constitute a transfer of ownership of those assets.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND. Licensor expressly disclaims all warranties, whether express, implied, statutory, or otherwise, with respect to the Software, including all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Licensor will provide Licensee with free updates to the Software for the duration of an active, paid subscription. Additionally, Licensor provides limited technical support via email and online forums. Any supplemental software code, scenarios, or updates provided to Licensee as part of these support services shall be considered part of the Software and subject to the terms and conditions of this Agreement.
TRAINING AND SIMULATION DISCLAIMER: The Software is designed as a training tool only. It is not a substitute for official first-responder protocols, professional medical judgment, or real-world emergency management procedures. Licensor makes no representation that the scenarios depicted in the Software accurately reflect all real-world conditions or outcomes.
IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SOFTWARE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.
Furthermore, Licensor shall bear no liability whatsoever for any actions taken, or not taken, by individuals in real-world emergency situations following training utilizing the Software.
This Agreement is effective until terminated. You may terminate this Agreement at any time by ceasing all access and use of the Software. Licensor may terminate this Agreement immediately if you breach any term or condition of this Agreement. Upon termination of the Agreement, all licenses granted herein shall immediately terminate, and you must cease all use of the Software. There is no requirement to manually clear standard web browser caches upon expiration of a subscription or termination of this Agreement.
This Agreement shall be governed by and construed in accordance with the laws of Ohio, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of or related to this Agreement or the Software shall be instituted exclusively in the state courts of Ohio located in Clermont County, or the federal courts of the United States located in the Southern District of Ohio.
Licensor may collect and use technical data, telemetry, crash reports, and user performance data gathered as part of the use of the Software. Licensor may use this information solely to improve its products, enhance training scenarios, or provide customized services to Licensee. Licensor will not disclose this information to third parties in a form that personally identifies Licensee or its individual users without explicit consent, except as required by law.
This Agreement constitutes the entire agreement between you and Licensor regarding the use of the Software and supersedes all prior and contemporaneous written or oral agreements or communications.
